Corporate finance advisers

Technology risk, made clear for the deal.

Whether you’re advising on a sale, leading a buy-side process, or backing a management team, technology can quietly shape the value of a deal. We give you an independent, plain-English view of it, on a timeline that works for the transaction.

Technology is now part of what you’re buying.

Platforms, data and the team behind them sit inside most valuations. When they aren’t understood before completion, the cost tends to surface later: in the price, in the warranties, or in the first hundred days.

When advisers engage us

Whichever side of the deal you’re on, the aim is no technology surprises late in the process.

Typical mandates

  • A sell-side mandate for a technology-enabled business, before it goes to market
  • A buy-side mandate where the target’s software is central to its value
  • A funder making technical due diligence a condition of the deal

Coverage

What we look at

Every review is scoped to the deal and the thesis behind it. Coverage typically includes:

  • Product

How much of it is built, proven and in use, and how well it fits the investment thesis.

  • Codebase

Quality, ownership and the cost of change: what it will take to keep building on it.

  • Team

Capability, key-person dependency, and whether the team can deliver the plan.

  • Infrastructure

Hosting, resilience and security, and the running costs that sit behind the margin.

  • Scalability

What strains, and what it costs, as volumes grow in line with the model.

  • Defensibility

IP ownership, licensing and third-party dependencies, and how hard the product would be to replicate.

  • Roadmap

Whether the plan is credible on the time and budget the model assumes.

  • Data

How personal and commercial data is held, protected and governed.

What you receive

One report, structured for your process, and the people who wrote it on hand to talk it through.

  • An executive summary of key strengths and concerns, written for decision makers, not engineers
  • A clear account of the evidence we reviewed, and what we verified rather than were told
  • Assessments of the product, codebase, team, infrastructure, scalability, defensibility, and roadmap
  • Matters to monitor after completion
  • Multiple touchpoints to review findings

How we fit your timetable

Most engagements take three to four weeks.

  1. 1

    Before we start

A fixed fee and timeline, agreed upfront. The fee never depends on the deal completing, and data-room access is limited to the people doing the work.

  2. 2

    Weeks 1 to 3

Data-room review and sessions with management and the technical team, with regular updates throughout.

  3. 3

    Weeks 3 to 4

Draft report and a review call to talk through the findings, then the final report.

  4. 4

    After completion

Matters to monitor, and senior technology leadership through the first hundred days if you need it.

Alongside your advisers

We work alongside your financial and legal advisers, not around them.

Our findings are written to sit beside financial, legal and commercial due diligence, on the same timetable and in the same plain English, so your deal team sees one picture of risk.

Where we fit

Questions

Common questions from deal teams

Do you act for buyers or sellers?

Either, but never both on the same transaction. Buy-side, we assess a target for an acquirer or investor. Sell-side, we help a business find and address issues before a buyer does.

How long does technical due diligence take?

Most engagements take three to four weeks, with a fixed fee and timeline agreed before we start. If your timetable is tighter, tell us early and we’ll be clear about what can be covered in the time available.

Can you stay involved after completion?

Yes. Where a business needs senior technology leadership through integration, separation or a leadership change, we can step in as a fractional or interim CTO, within our independence commitments.

What do you need from us to get started?

A short description of the target and the transaction, your timetable, and who the report is for. We’ll come back with a proposed scope, a fixed fee and a timeline.

Tell us about the mandate. We’ll confirm there’s no conflict with either side, then agree a scope that fits the deal timetable.
