About
Independence & governance
Our findings stand on their own. Independence is what investors rely on when they bring us in, so the rules on this page are fixed, and they apply to every engagement.
The commitments we make
We assess technology and execution risk. We don’t give investment advice or make buy, sell, or hold recommendations. The decision is always yours; our role is to give you a clear technical picture so you can make it with confidence.
12 months
We won’t take on delivery work at a business we’ve assessed for twelve months after our report, unless its investors ask us to.
No equity
We never assess a business in which we hold, or are negotiating, equity.
One side
On a transaction, we act buy- or sell-side, never both, and never carry out buy-side due diligence on a business we’ve prepared for sale.
The rules in full
What we always do, and what we never do
We always
- Check every engagement for conflicts before sign off
- Have every proposed partnership and shareholding reviewed independently before it’s agreed
- Keep equity entirely separate from our due diligence work
- Review and sign off every due diligence report before it’s released, including work an associate has led
We never
- Take on delivery work at a business we’ve assessed for twelve months after our report, unless its investors ask us to
- Assess a business in which we hold, or are negotiating, equity
- Act for both sides of a transaction, or carry out buy-side due diligence on a business we’ve prepared for sale
- Use an assessment as a route to selling our own delivery work
- Give investment advice, make buy, sell, or hold recommendations, or lead or broker investment rounds
- Manage third-party capital, or operate as fund managers or venture builders
Structured to stay independent
Delivery and equity, kept apart
Embeddable Limited, our delivery arm, holds our client contracts, from fractional CTO engagements to investment due diligence, and owns our in-house IP.
Embeddable Ventures Limited can hold small minority shareholdings in businesses we work with, where there’s clear long-term alignment, and always separately from our due diligence work.
The same rules for associates
Associates work to the same rules. Before any engagement, they declare their own conflicts, including any that come from their employer or other roles, and we don’t assign an associate whose employer competes with, invests in, or works with the business concerned.
Bringing us into a deal?
Tell us about the business and the timetable. We’ll confirm there’s no conflict before anything else.
